About Pepsi Beverages Company

On February 26th, 2010, PepsiCo completed its mergers with PAS and PBG to strengthen its North American beverage business. The North American bottling operations of PAS and PBG are now an operating unit of PepsiCo known as Pepsi Beverages Company. PBC operates in the United States, Canada and Mexico and encompasses approximately 75 percent of PepsiCo's North American beverage volume. PBC's diverse portfolio includes some of the world's most widely recognized beverage brands, including Pepsi, Mountain Dew, Sierra Mist, Aquafina, Gatorade, SoBe, Lipton, and Amp Energy. PBC also manufactures and distributes third-party brands in key local markets such as Dr Pepper, Crush, Rock Star and Muscle Milk. The operating unit is headquartered in Westchester County, New York.

PepsiAmericas History

On November 30, 2000, Pepsi-Cola General Bottlers and PepsiAmericas, the second- and third-largest U.S.-based Pepsi bottlers, merged under the name PepsiAmericas to become the second-largest Pepsi-Cola anchor bottler in the world.

PepsiAmericas produced, sold and delivered more than 200 different beverages to 200 million consumers in 17 countries around the globe.

Beginning a trend that would propel PepsiAmericas' growth strategy, in 2004, the company purchased Central Investment Corporation, an acquisition that effectively expanded the PepsiAmericas' U.S. operations into Florida and in contiguous territories in Ohio. In 2006, the company acquired the Pepsi bottler in Romania and, one year later, partnered with PepsiCo in a joint acquisition of Sandora, the largest juice manufacturer in Ukraine.

By the close of the decade, PepsiAmericas had nearly 18,800 employees, was generating $4.4 billion in annual revenue and accounted for approximately 19% of all the Pepsi products sold in the U.S.

Pepsi Bottling Group History

The Pepsi Bottling Group (PBG) was formed in 1999 after being spun off from PepsiCo in what was then one of the largest initial public offerings in the history of the New York Stock Exchange. With operations in the U.S., Canada, Spain, Greece and Russia, PBG became the world's largest manufacturer, seller and distributor of Pepsi beverages.

In 2002, PBG further expanded its international footprint by acquiring Pepsi-Gemex, the largest Pepsi bottler in Mexico, as well as Fruko, the exclusive Pepsi bottler in Turkey. In 2007, PBG and PepsiCo formed a joint venture in Russia to capitalize on growth opportunities in the Russian market. The following year, PBG and PepsiCo acquired Lebedyansky, Russia's number one juice company.

PBG nearly doubled its revenue and its workforce during its ten years as a publicly traded company, finishing 2009 with annual sales of more than $13 billion and approximately 65,000 employees. It handled nearly 60 percent of PepsiCo's beverage volume in the U.S. and 40 percent internationally.

CEO, Pepsi Beverages Company

Eric J. Foss is Chief Executive Officer of Pepsi Beverages Company (PBC), which represents 75 percent of PepsiCo's beverage business in the U.S., Canada and Mexico. PBC employs more than 70,000 people focused on making, selling, servicing and delivering Pepsi beverages and third-party allied brands.

Prior to the merger of Pepsi Bottling Group (PBG) with PepsiCo, Eric served as PBG's Chairman and CEO, having been named CEO and elected to the PBG Board of Directors in July 2006 and elevated to PBG's Chairman in October 2008.

Mr. Foss served as PBG's Chief Operating Officer from September 2005 to July 2006. He was named President, PBG North America in 2001 and, prior, served as Executive Vice President and General Manager of PBG North America beginning in 2000. He joined PBG as Senior Vice President, U.S. Sales and Field Marketing in 1999 when the company was spun off from PepsiCo in an Initial Public Offering.

Mr. Foss joined Pepsi-Cola Company in 1982 and held a variety of positions with increasing responsibility in the areas of sales, marketing and general management in the field and at headquarters. In 1990, Mr. Foss was named Vice President, Retail Strategy for Pepsi-Cola North America (PCNA). From 1994 to 1996, he served as General Manager of PCNA's Great West Business Unit. In 1996, he was named General Manager of Pepsi-Cola's Central Europe business.

Mr. Foss holds a Bachelor of Science degree in Marketing from Ball State University. He serves on the Board of Directors of UDR, Inc. and on the Industry Affairs Council of the Grocery Manufacturers of America.

Mr. Foss is based in Somers, New York.

Cindy Swanson

Chief Financial Officer, Pepsi Beverages Company

Cynthia Swanson is the chief financial officer for Pepsi Beverages Company. She became CFO in February 2010, following the completion of the mergers of PepsiCo, Pepsi Bottling Group and PepsiAmericas.

Immediately prior to her current position, Swanson served as chief financial officer of PepsiCo Americas Beverages. Prior to that, she was senior vice president and chief financial officer of Pepsi-Cola North America (PCNA), a position she assumed in 2005. Before joining PCNA, Swanson was the head of Corporate Mergers & Acquisitions and Merger Integration at PepsiCo.

Swanson joined PepsiCo in 1991. During the course of her career, she has held several financial and planning roles with Frito-Lay International's snack food business and with Pepsi-Cola International's (PCI) beverage business.

At Frito-Lay International, she held the positions of chief financial officer for the Latin America/Asia Pacific division and vice president of strategic planning. Following two years in planning and business development with PCI in New York, Swanson spent six years abroad serving as CFO-Central Europe, CFO and Financial Director-Hungary, and Planning Director-Hungary.

Swanson holds an undergraduate degree from Mount Holyoke College, where she graduated cum laude, and an M.B.A. from the Wharton School at the University of Pennsylvania.

Executive Vice President and Chief Commercial Officer, Pepsi Beverages Company

Thomas (Tom) Greco was appointed to the newly created position of Executive Vice President and Chief Commercial Officer, Pepsi Beverages Company. Prior to this role he was Executive Vice President Sales for North America Beverages where he coordinated sales-related activities for the full portfolio of North America Beverages.

He was previously President - Global Sales, a position he held since August 2006. In this position, he was accountable for selling PepsiCo's portfolio of leading beverages, snacks and foods to customers across all retail channels. He was also responsible for driving PepsiCo's successful "Power of One" Cross Divisional Sales Strategy and leveraging the combined strengths and capabilities of all its businesses under a unified approach to customers.

Mr. Greco began his career with PepsiCo in Canada in 1986. He has held a variety of positions in Sales, Marketing and General Management, including Region Vice President - Midwest, President of Hostess Frito-Lay Canada and Senior Vice President of Sales for Frito-Lay North America.

Mr. Greco was previously employed by Procter & Gamble.

He received a Master of Business Administration from the Richard Ivey School of Business in London, Ontario, Canada and an Honors Bachelor of Commerce from Laurentian University. He serves on the Board of the St. Mark's Hockey Association and is the Co-Chair for the Food Marketing Institute's Associate Member Advisor Board.

Mr. Greco is based in Purchase, N.Y.

Chief Strategy Officer, Pepsi Beverages Company

Eric Llopis is chief strategy officer at Pepsi Beverages Company. In this role, he is focused on accelerating the company's growth across North America by identifying local market opportunities and diversifying the company's brand portfolio. He is also responsible for PBC's Learning Labs program, which is designed to provide access to promising brands in emerging beverage categories that offer high growth potential.

Prior to his current position, Mr. Llopis served as chief strategy officer at Pepsi Bottling Group (PBG), where he worked closely with senior management to drive innovation, strengthen and reposition the company's brand portfolio, and capitalize on geographic growth opportunities.

Prior to joining PBG, Mr. Llopis served as director of competitive strategy at Miller Brewing Company. Before joining Miller in 2005, he co-founded Auctive, a management consulting firm where he specialized in helping consumer product companies such as Diageo, Coors, Kellogg and Eastman Kodak with their strategies related to product portfolio growth, distribution, channel development and international expansion. He also spent eight years with Dove Consulting, where he advised PepsiCo, Nestle, Kraft and others.

Mr. Llopis earned a Bachelor of Arts degree from the University of California, Los Angeles and a Master of Management degree from the Kellogg School at Northwestern University.

President, North America Field Operations

Mike Durkin is the President of North America Field Operations for Pepsi Beverages Company, with responsibility for the U.S., Canada and Mexico. Mr. Durkin leads PBC's day-to-day field operations and is responsible for developing and delivering the company's annual operating plan.

Most recently, Mr. Durkin was the Executive Vice President for PepsiAmericas' U.S. business, a $3.4 billion operation. In this role, Mr. Durkin was responsible for leading PepsiAmericas' domestic sales and marketing strategy.

Previously, Mr. Durkin was PepsiAmericas' Executive Vice President and Chief Financial Officer, a position he held from 2000 until 2005. Prior to joining PepsiAmericas in 1999 as Senior Vice President and General Manager for the company's East Group, Mr. Durkin held a number of posts of increasing responsibility with PepsiCo, including Vice President of Customer Development and Area Chief Financial Officer. His beverage industry experience spans more than 28 years.

Mr. Durkin earned a bachelor's degree in finance and marketing from the University of Rhode Island in 1981, and a master's of business administration from Pace University in 1987. He is also a member of the Board of Directors for The Schwan Food Company and Mesaba Aviation, Inc.

Executive Vice President, Supply Chain and System Transformation

Victor Crawford is executive vice president of supply chain and system transformation at Pepsi Beverages Company, a role in which he oversees the company's operations in the areas of manufacturing and warehousing, transportation and logistics, selling and delivery, and information technology.

Prior to his current position, Mr. Crawford was senior vice president of global operations and system transformation at Pepsi Bottling Group (PBG).

Mr. Crawford spent the early years of his career with PricewaterhouseCoopers and Michigan-based Federal Mogul Corporation. In 1990, he joined the Pepsi-Cola Bottling Company in Michigan and quickly progressed through several finance and sales roles in Michigan and Ohio. In 1998, he was appointed vice president and general manager of the Greater Chicago Division of Pepsi-Cola General Bottlers, Inc.

Mr. Crawford left the Pepsi system in September 2000 to join Marriott as senior vice president of Marriott Distribution Services (MDS). He was named executive vice president and general manager of MDS in 2001 and, in 2005, became senior vice president and chief operations officer for the eastern region of Marriott International.

In December 2005, Mr. Crawford returned to the Pepsi system as PBG's senior vice president of worldwide operations.

He earned a Bachelor of Science degree in accounting from Boston College.

John L. Berisford Photo

John L. Berisford

Senior Vice President, Human Resources

John Berisford is senior vice president of human resources at Pepsi Beverages Company. He is responsible for all aspects of the company's human resources function, including talent management, compensation and benefits, labor relations, diversity and employee communications.

Prior to his current position, Mr. Berisford was senior vice president of human resources at Pepsi Bottling Group (PBG).

A 22-year veteran of the Pepsi system, he began his career in Pittsburgh in 1988. He held a series of successive assignments both in the field and at Pepsi-Cola's headquarters in staffing, labor relations and organizational capability. In 1995, he was named director of human resources for the company's Heartland Business Unit. Mr. Berisford returned to headquarters in 1998 to become PBG's vice president of organization capability. He was appointed vice president of field human resources in 2001 and group vice president of human resources in 2004.

Mr. Berisford holds a Bachelor of Arts degree in political science from West Liberty College in West Virginia and a Master of Science degree in labor and industrial relations from West Virginia University.

James R. Rogers Photo

Senior Vice President, Global Bottling Capabilities and Best Practices

Jim Rogers is the Senior Vice President of Global Bottling Capabilities and Best Practices for Pepsi Beverages Company. Mr. Rogers is responsible for identifying best practices in the areas of supply chain, sales execution, and service and support tools and capabilities, and leveraging those practices and initiatives throughout the broader global PepsiCo organization.

Most recently, Mr. Rogers served as Executive Vice President for PepsiAmericas' International business, a $1.6 billion operation. He was responsible for leading PepsiAmericas' Central and Eastern European Business Unit.

Previously, Mr. Rogers was PepsiAmericas' Senior Vice President of the company's Central European Group, a position he held from 2000 until 2006. His beverage industry experience spans 35 years. Over that time, he has held a number of general management posts with PAS, PBG and PepsiCo, including Senior Vice President of Sales and Marketing, Vice President of Sales for Russia, Vice President & General Manager of the Poland business, and other sales and marketing positions.

David Yawman Photo

David Yawman

General Counsel

David Yawman is vice president and general counsel of Pepsi Beverages Company. In this role, he oversees the company's legal, regulatory and legislative affairs.

Prior to assuming his current position, Mr. Yawman served as vice president, associate general counsel, and assistant secretary at Pepsi Bottling Group (PBG). At PBG, he oversaw all legal issues relating to SEC reporting, corporate governance, mergers and acquisitions, and other corporate functions.

Prior to joining PBG in 2005, Mr. Yawman spent six years as a member of the law department at PepsiCo. His last position at PepsiCo was senior counsel, where his primary responsibilities included securities, corporate governance, compensation, benefits and employment law.

Before joining PepsiCo in 1998, Mr. Yawman was an associate with the law firm of Fried, Frank, Harris, Shriver & Jacobson in New York City and served as a law clerk to the Honorable Alfred Wolin of the United States District Court of New Jersey.

He currently chairs the board of directors of the United Way of Westchester and Putnam Counties, a position he has held since January 2008. He is also the treasurer and a member of the board of directors for The Pro Bono Partnership, the leading provider of free business legal services to nonprofit community-based organizations located in Connecticut's Fairfield County, New York's lower Hudson Valley, and New Jersey.

Mr. Yawman graduated with honors from the Rutgers University School of Law (Newark), where he also served as managing director of the Rutgers Law Review. He holds a Bachelors Degree in American Studies from the University of Notre Dame.
